E-Sentinel (“E-Sentinel”) is committed to maintaining the highest standards of business integrity and professionalism. We expect our vendors, suppliers, distributors, partners,

business associates, and third-party representatives (“Vendors”) to adhere to these standards and communicate them throughout their organizations. This Vendor Code of Conduct (“Code”) outlines E-Sentinel’s expectations regarding ethical conduct and compliance with applicable laws and regulations.

Vendors must adhere to the principles outlined in this Code, along with their internal company policies, legal commitments, and agreements with E-Sentinel. Non-compliance with this Code may lead to the discontinuation of the business relationship. Vendors are urged to address any inquiries or concerns regarding this Code with their designated E-Sentinel contact.

1. General Conduct and Ethics

Vendors associated with E-Sentinel are expected to demonstrate honesty, ethics, and transparency in their dealings with E-Sentinel, its employees, customers, and other stakeholders.

1.1 Monitoring and Reporting

Vendors are responsible for monitoring their own compliance with this Code and reporting any integrity concerns or violations involving or affecting E-Sentinel. When requested, Vendors should assist E-Sentinel in investigating such concerns.

1.2 Compliance with Laws

Vendors must comply with all applicable laws, rules, and regulations that pertain to their business, especially those related to their duties for E-Sentinel.

2. Anti-Corruption and Business Expenses

E-Sentinel strictly prohibits bribery, kickbacks, or any illegal payments directly or indirectly related to E-Sentinel. This includes dealings with public officials or private parties.

2.1. Business Expenses

All business expenses incurred by Vendors in connection with E-Sentinel, such as gifts, hospitality, entertainment, events, travel, or accommodation, must adhere to agreements with E-Sentinel. These expenses should have a legitimate business purpose, be reasonable, comply with local law, and be accurately recorded.

3. Use and Protection of E-Sentinel Corporate Assets

If provided with E-Sentinel assets, including technology, software, proprietary information, or other physical assets, Vendors are expected to protect these assets and ensure their efficient use for legitimate business purposes.

4. Conflicts of Interest and Corporate Opportunities

Vendors should avoid actual or potential conflicts of interest that interfere with E-Sentinel's interests. This includes not taking opportunities discovered through the use of E-Sentinel property, information, or positions for personal gain.

5. Insider Trading

Vendors with access to material non-public information about E-Sentinel or other companies may not purchase or sell securities based on such information. Vendors are prohibited from tipping others regarding material non-public information.

6. Antitrust, Competition, and Fair Dealing

Vendors are expected to comply with antitrust and competition laws, promoting fair and open competition. They should not engage in agreements with competitors that unreasonably restrain trade or unfairly advantage any party.

7. Record Management and Recording Transactions

Vendors must ensure that financial books, records, and accounts related to their relationship with E-Sentinel accurately reflect transactions and events. Falsification of documents or accounting records is strictly prohibited.

Vendors are required to safeguard and protect E-Sentinel’s confidential information and that of its customers, suppliers, shareholders, employees, or other third parties. Confidential information includes non-public information that, if disclosed, could harm the relevant party or be useful to competitors.

9. Data Privacy

Vendors must comply with all applicable laws and regulations regarding the protection of personal information or other sensitive information. Vendors should accurately reflect data processing activities in their privacy policies and promptly notify E-Sentinel of any data breaches.

10. Human Rights, Employee Relations, and Non-Discrimination

Vendors must comply with human rights laws prohibiting child, forced, indentured, or involuntary labour. E-Sentinel expects fair wages, adherence to maximum working hour standards, and compliance with all applicable laws regarding employee benefits. Vendors must conduct themselves professionally, avoiding any form of harassment. E-Sentinel does not tolerate illegal discrimination or harassment.

Vendors are expected to manage operations in a manner protective of human health, safety, and the environment, especially concerning their work with E-Sentinel.
